Welcome to the Sugarbook Affiliate Program!

These formal terms and conditions ("Agreement") outline the rules and guidelines for your participation as an affiliate in promoting Sugarbook. Please read this Agreement carefully before enrolling in the Program.

This Agreement constitutes the entire understanding between you and the Company regarding the Sugarbook Affiliate Program, superseding any prior agreements or understandings.

By enrolling in the Sugar Dating Affiliate Program, you signify your acceptance of these terms and conditions and agree to comply with all the obligations and responsibilities outlined herein. We look forward to a successful partnership as you promote Sugarbook

2. Affiliate Responsibilities:

2.1. As an affiliate, you will be responsible for promoting the Sugarbook's services and driving traffic to us using approved promotional materials and methods.

2.1.1. You must not engage in any form of deceptive, misleading, or unethical marketing practices. This includes, but is not limited to, spamming, false advertising, trademark infringement, or any other activity that may tarnish the Sugarbook's reputation.

2.1.2.. You are solely responsible for any content you create or distribute in connection with the Program. All promotional materials must be accurate, lawful, and comply with applicable laws and regulations.

2.1.3. You will not make any false or misleading statements about the Sugarbook or its services,

3. Affiliate Restrictions:

3.1. In addition to the responsibilities outlined in Section 2, you must also adhere to the following restrictions as an affiliate in the Sugarbook Affiliate Program:

3.1.1. Prohibited Content: You must not create or distribute any content that is offensive, defamatory, obscene, pornographic, or promotes violence, discrimination, or illegal activities. This includes avoiding content that may be considered sensitive or inappropriate for certain audiences.

3.1.2. Unsolicited Communication: You must not engage in spamming or unsolicited communication methods to promote the Company's services. This includes sending unsolicited emails, messages, or any other form of communication to individuals who have not expressed explicit consent to receive such communications.

3.1.3. Trademark Infringement: You must not use the Sugarbook's trademarks, logos, or intellectual property in a way that infringes upon Sugarbook's rights or confuses customers. You may only use Sugarbook's approved promotional materials and intellectual property as provided to you by Sugarbook.

3.1.4. Unethical Practices: You must not engage in any unethical practices to generate referrals, such as creating fake accounts, using deceptive methods to obtain user information, or engaging in any activity that manipulates the tracking or reporting systems of the Program.

3.1.5. Violation of Laws and Regulations: You must comply with all applicable laws, regulations, and industry guidelines, including but not limited to those related to advertising, data privacy, intellectual property, and online marketing. You are solely responsible for ensuring compliance with these laws and regulations.

3.2. Failure to comply with the restrictions outlined in this section may result in immediate termination of your participation in the Sugarbook Affiliate Program and may also lead to legal consequences.

3.3. Sugarbook reserves the right to monitor your activities and content to ensure compliance with these restrictions. If any violation is detected, Sugarbook may take appropriate action, including the suspension or termination of your participation in the Program.

Note : By participating in the Sugarbook Affiliate Program, you acknowledge and agree to abide by these restrictions, understanding that any violation may lead to consequences as determined by Sugarbook. It is your responsibility to ensure compliance with all applicable laws, regulations, and ethical standards in your promotional activities.

4. Traffic Restrictions:

4.1. Fraudulent Traffic: Affiliates sending fraudulent traffic, or suspected of sending fraudulent traffic, will be immediately expelled from the offer, and transactions will be marked as void.

4.1.1. Non-Commissionable Conversions: Conversions are non-commissionable if they do not constitute a completed sale, such as when the subscription/service of Sugarbook has been cancelled/terminated or a refund has been processed.

4.1.2. No Direct Linking via Paid Advertising: Affiliates are prohibited from directly linking to Sugarbook via paid advertising. Instead, you must use a landing page or website owned by you to redirect users to Sugarbook.

4.1.3. No Pornographic or Overtly Sexual Content: Affiliates must not associate Sugarbook with pornographic or overtly sexual content, materials, or sites as a promotional method.

4.1.4. No Pop-Up/Pop-Under or PPV Ads: Pop-up, pop-under, or pay-per-view (PPV) banner advertisements are not allowed.

4.1.5. No Adware/Spyware/Toolbar Traffic: Affiliates must not use adware, spyware, or toolbar traffic to promote Sugarbook.

4.1.6. No Cookie Stuffing: Cookie stuffing is strictly prohibited. Affiliates may only place cookies on their website when the user manually clicks and goes to the Sugarbook site.

4.1.7. No Framing of Sugarbook: Affiliates must not frame Sugarbook inside any other site.

4.1.8. Prohibited Traffic Methods: Incentivized traffic, auto-subscriptions, co-registration, fraud or bot traffic, and misleading ads are strictly prohibited.

4.1.9. No SMS/MMS Traffic: Affiliates are not allowed to promote Sugarbook via SMS/MMS traffic.

4.2. No Illegal Content Promotion: Affiliates must not promote illegal content or place affiliate links on sites that promote illegal content or breach legal rights.

4.2.1. No Promotion in Classifieds/Chat Rooms: Affiliates must not promote affiliate links in classifieds or chat rooms that they do not own.

4.2.2. Unauthorized Representation: Affiliates cannot claim to be an authorized representative or spokesperson for Sugarbook without prior written consent.

4.2.3. Quality Traffic Requirement: Sugarbook reserves the right to remove affiliates that are sending low-quality traffic or high clicks with low conversions at any time. Sugarbook also reserves the right to charge back for low-quality traffic.

4.2.4. Trademark Bidding: Under no circumstance are you allowed to bid on the trademarked name "Sugarbook" or variations of the trademark without prior written consent.

4.2.5. Custom Creatives Approval: All custom creatives must be submitted for review and approval prior to use. Affiliates may also request existing materials or banners with preferred sizes from their Affiliate Manager.

Note : By participating in the Sugarbook Affiliate Program, you acknowledge and agree to adhere to these traffic restrictions. Violations may result in the termination of your participation in the Program and may incur legal consequences. It is your responsibility to ensure compliance with all traffic restrictions and guidelines provided by Sugarbook.

5. Commission Structure:

5.1. Affiliates are eligible for commission (s) as indicated in the payout section within the 120 days of cookie period

5.1.1. The commission (s) amount may vary based on the indicated categories and tiers.

5.1.2. Recurring Commissions: Affiliates also earn recurring commissions when a user's Premium Membership is renewed (rebill) after the initial subscription. This recurring commission applies only once per user

5.1.3. Coins Package Purchases: Affiliates have the opportunity to earn additional commissions when a user, who has already subscribed to a Premium Membership, purchases any tier of the Coins Package.

5.1.4. Flat Rate Coins Package: Affiliates are entitled for commission for each tier in Coins Package for one time with no recur

5.1.5. The specific commission rates, categories, tiers, and payout details for Premium Membership subscriptions and Coins Package purchases will be communicated to affiliates separately. These commission rates may be subject to change at the discretion of Sugarbook

5.1.6. Commissions are payable to affiliates once the corresponding actions, such as Premium Membership subscriptions or Coins Package purchases, have occurred and have been confirmed by Sugarbook's tracking and reporting systems.

5.1.7. Sugarbook reserves the right to review and verify all actions before approving commission payments. Any fraudulent or suspicious activity may result in the withholding or reversal of commissions.

5.1.8. Commissions are typically paid on a regular payment schedule as determined by Sugarbook. The specific payment terms, minimum payout thresholds, and payment methods can be referred in the billing section

5.1.9. Affiliates are responsible for ensuring that their payment details and information are accurate and up to date. Sugarbook shall not be held liable for any delays or issues resulting from incorrect payment information provided by affiliates.

5.2. Any chargebacks, refunds, or cancellations of Premium Membership subscriptions or Coins Package purchases will result in the corresponding commission being void, deducted or reversed from the affiliate's account.

5.2.1. Affiliates are solely responsible for any taxes or fees applicable to the commissions they earn through the Sugarbook Affiliate Program. The Company does not provide tax or legal advice, and affiliates are encouraged to consult with their own tax professionals regarding their tax obligations.

The specific commission rates, categories, tiers, and terms may be subject to change, and it is your responsibility to review any updates or modifications communicated by Sugarbook.

6. Commission Transfer:

6.1. Commission Transfer Fees: The affiliate shall bear the full responsibility for any transfer fees associated with receiving commission payments through PayPal, Bank Transfer, or Wire Transfer.

6.1.1. PayPal Transfer Fees: If the affiliate chooses to receive commission payments via PayPal, any applicable PayPal transfer fees, including transaction fees or currency conversion fees, shall be solely borne by the affiliate. The exact fees will be determined by PayPal and are subject to their terms and conditions.

6.1.2. Bank Transfer Fees: If the affiliate selects Bank Transfer as the payment method, any charges imposed by the banks involved in the transfer process will be the sole responsibility of the affiliate. These fees may include outgoing transfer fees, intermediary bank fees, currency conversion fees, or any other charges incurred during the transfer. The affiliate agrees to be liable for such fees and acknowledges that they may vary depending on the banks involved.

6.1.3. Wire Transfer Fees: Similar to Bank Transfer, if the affiliate chooses Wire Transfer as the payment method, any fees associated with the transfer, such as outgoing wire transfer fees, intermediary bank fees, currency conversion fees, or other charges, will be fully borne by the affiliate.

6.1.4. Payment Method Selection: The affiliate can choose between PayPal, Bank Transfer, or Wire Transfer as their preferred payment method for commission payments. It is the affiliate's responsibility to select the appropriate payment method and provide accurate payment information, such as PayPal account details or bank account information, for the transfer.

6.1.5. Payment Currency: The commission payments will be made in USD (United States Dollars). Any currency conversion fees or charges associated with currency conversion shall be fully borne by the affiliate. The affiliate acknowledges that the conversion rates used for currency conversion may vary and should consult with their respective financial institutions for accurate exchange rates.

6.1.6. Payment Frequency: Commission payments will be made on a regular basis as specified in the payment terms. The affiliate acknowledges that the frequency of payments may vary based on the payment method chosen and any minimum payment thresholds that may be in place.

6.1.7. Payment Discrepancies: In the event of any payment discrepancies or issues related to commission transfers, the affiliate shall promptly notify the program administrator and provide all necessary information for resolution.

6.1.8. Non-Liability: The program and its administrators shall not be held responsible for any losses, fees, charges, or liabilities incurred by the affiliate in relation to commission transfer fees or payments made through PayPal, Bank Transfer, or Wire Transfer.

6.1.9. By participating in the affiliate program, the affiliate acknowledges and accepts the responsibility for any associated transfer fees and the terms and conditions outlined above regarding commission payments and payment methods.

7. Intellectual Property:

All intellectual property rights, including but not limited to trademarks, logos, domain names, and content, associated with Sugarbook Affiliate Program and Sugarbook’s services, are the sole property of Sugarbook or its licensors. Affiliates are granted a limited, non-exclusive, and non-transferable right to use such intellectual property solely for the purpose of promoting the Company's services in accordance with these terms and conditions.

7.1.1. Affiliates shall not modify, reproduce, distribute, display, or create derivative works based on the Sugarbook's intellectual property without prior written consent from Sugarbook. Any unauthorized use of Sugarbook's intellectual property is strictly prohibited and ma

- Engagement in fraudulent activities, deceptive practices, or unethical behavior.

- Non-compliance with applicable laws, regulations, or platform policies.

- Any act that may harm the Company's reputation or the integrity of its services.

8.1.1. Upon termination, the affiliate shall immediately cease all promotion of the Sugarbook's services and remove any links, content, or materials associated with the Sugarbook Affiliate Program from their websites, platforms, or promotional channels.

9. Limitation of Liability:

9.1. Sugarbook shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the affiliate's participation in the Sugarbook Affiliate Program, including but not limited to:

Loss of data or interruption of services.

Any damages resulting from the use or inability to use the Sugarbook's services or materials.

9.1.1. The Company does not make any warranties or representations regarding the performance, availability, or accuracy of its services or the results obtained from the affiliate's participation in the Sugarbook Affiliate Program.

9.1.2. Affiliates agree to indemnify and hold Sugarbook harmless from any claims, damages, liabilities, or expenses arising out of or in connection with their participation in the Sugarbook Affiliate Program, including any violation of these terms and conditions, infringement of intellectual property rights, or any third-party claims related to their promotional activities.

By participating in the Sugarbook Affiliate Program, you acknowledge and agree to the provisions regarding intellectual property, termination, and limitation of liability as outlined above. It is your responsibility to comply with these provisions and to seek clarification or guidance from Sugarbook if needed.

These Terms and Conditions constitute the entire agreement between the affiliate and Sugarbook regarding the Sugarbook Affiliate Program and supersede any prior agreements or understandings, whether written or oral.Sugarbook reserves the right to modify, amend, or update these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting the updated Terms and Conditions on the Affiliate Portal or notifying affiliates through other means
